You may be wondering what the heck is an NDA! An NDA is a contractual obligation that forms a confidentiality relationship. Generally, an NDA is used when proprietary information (i.e. trade secret or idea) is being shared with another person.
The scope of the NDA is unlimited! You can include ANYTHING in the NDA that you want to be protected. You can even add a non-compete clause to the NDA to prevent others from duplication of the information that was shared.
The NDA can be used in a variety of ways. Here are the most common ways in which an NDA can be used:
- To protect a concept or an idea.
- To articulate what can and cannot be shared or used.
- To protect sensitive a privied information.

You should have an NDA signed everytime you are sharing your information with others who otherwise would not have access to your proprietary information.
Let’s put this in perspective…
- You know when you go to a networking brunch and you share what you are doing and information regarding your future products or services? BAM!….NDA is required.
- You know when you are sharing what you are doing on social media in an online group? BAM!… NDA is required!
